Terms Of Service

Welcome to your Planet! Planet labs inc ("Planet") is excited to make the planet explorer, our apis, and content available to you (collectively, our "content"). These terms outline your rights and responsibilities when using our content. By accessing the content, you, on behalf of yourself or your organization (hereinafter "you", "your"), are expressly agreeing to be bound by the terms and conditions of planet explorer terms of service, in addition to the www.Planet.Com terms of use and privacy policy (collectively, this "agreement"). Planet is willing to grant the rights as outlined herein and make the content available to you only upon the condition that you accept the terms of this agreement. Written approval of this agreement is not a prerequisite to the validity or enforceability of this agreement and no solicitation of any such written approval by or on behalf of planet shall be construed as an inference to the contrary.

Your Planet Account

You will need to establish a Planet account in order to access our Content (a "Planet Account"). Planet Accounts are only available to persons not barred from receiving services under the laws of the United States. Each Planet Account is unique to its holder and must not be shared. Keep your password and other secrets, such as API keys, used with your account safe. You are responsible for the activity that occurs under your Planet Account. If you suspect or discover that any password or secret has been compromised, please contact support@planet.com.

Using Our Content

GRANT - Subject to the terms and conditions of this Agreement, Planet hereby grants you a limited, nontransferable, nonexclusive, non-sublicensable, revocable license to access and use the Content solely for your own personal, non-commercial use.

RESTRICTIONS - You may not use the Content for any purpose except as expressly set forth in the Agreement. Without limitation of the preceding sentence, you will not: (a) alter, remove, or obscure any proprietary notices, watermarks or legends included or embedded in the Content; (b) use the Content in violation of applicable laws or regulations; (c) adapt, alter, publicly display, publicly perform, translate, create derivative works of, or otherwise modify the Content; (d) sublicense, lease, rent, loan, transfer or distribute the Content to any third party; (e) reverse engineer, decompile, disassemble or otherwise attempt to derive the source code for the platform; or (f) allow third parties to access or use the Content.

RESERVATION OF RIGHTS - Except for the limited license granted under this Agreement, Planet retains all right, title and interest, including all intellectual property rights, in and to the Content and all other Planet intellectual property. All rights not expressly granted in this Agreement are hereby reserved by Planet.

THIRD PARTY CONTENT - Third Party Content is subject to separate terms and conditions included in the "Terms" (or similar) section of the Planet Explorer and as listed below. Planet makes such Third Party Content available to you as a convenience and at no charge. As such, you acknowledge and agrees that Planet makes no representations or commitments as to such Third Party Content and assumes no liability for such Third Party Content.

Additional Licenses And  Terms

CALIFORNIA - Through our APIs, you have access to the shifting scenes of California. Unless otherwise attributed, all content is owned by Planet. Planet content of California from Oct 01 2017 to March 31 2018 is made available to you under a Creative Commons Attribution-ShareAlike 4.0 International license as available at http://creativecommons.org/licenses/by-sa/4.0/.

OTHER AREAS - For areas outside of California, you will have view-only access to our Content in limited resolution.

LANDSAT - LandSat data is available to view and download, and subject to the following terms:

Term And Termination

This Agreement is effective for so long as you use and access the Content, provided however that: (i) Planet may add, change, or remove features or functions of the Planet Explorer, Libraries, Tools, or Content at any time by updating this Agreement and posting such updated document on the "Terms" section of the Planet Explorer site. You may stop using our Content at any time. Planet may also stop providing access to our Content at any time.

Disclaimer

THE CONTENT AND THIRD PART CONTENT IS PROVIDED "AS IS" WITHOUT ANY WARRANTY OF ANY KIND, AND PLANET EXPRESSLY DISCLAIMS ALL WARRANTIES WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGMENT, ACCURACY, UNINTERRUPTED PERFORMANCE OR SECURITY. YOU ACKNOWLEDGE THAT YOU HAVE NOT RELIED ON ANY REPRESENTATIONS OR WARRANTIES.

Limitation Of Liability

PLANET WILL NOT BE RESPONSIBLE FOR ANY INDIRECT, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF DATA, GOODWILL, REVENUE, OR PROFITS. PLANET’S TOTAL LIABILITY FOR ANY CLAIM UNDER THIS AGREEMENT IS LIMITED TO $100.00 USD. IN NO CASE WILL PLANET BE LIABLE FOR ANY LOSS OR DAMAGE THAT IS NOT REASONABLY FORESEEABLE. THESE LIMITATIONS APPLY TO ANY THEORY OF LIABILITY AND EVEN IF A REMEDY DEFINED HERE IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

Compliance With Laws

With respect to the disposition of the Content, you shall comply fully with all applicable laws and regulations. Without limiting the foregoing, You shall ensure that neither the Content nor any part or derivation thereof is (a) provided to or the subject of any transaction or dealing, directly or indirectly, with or related to an Embargoed Jurisdiction or Sanctioned Person; (b) exported or reexported, directly or indirectly, in violation of any applicable laws or regulations, or (c) used for any prohibited purpose. "Embargoed Jurisdiction" means a country, region, territory or government with respect to which the U.S. government imposes a trade or investment embargo, presently Crimea, Cuba, Iran, North Korea, and Syria. "Sanctioned Person" means any legal entity or individual with respect to which or whom U.S. citizens are generally forbidden to transact under economic sanctions including, without limitation, a person on the List of Specially Designated Nationals and Blocked Persons.

General Matters

These terms are the entire and exclusive agreement between you and Planet and replace any prior agreements regarding the Content. If any aspect of these terms is found unenforceable, the remainder will not be effected. If you are found to not comply with these terms, any delay in our response does not mean that we give up any rights we may have and we may take action in the future. This Agreement will be governed by the laws of the State of California, irrespective of its choice of law provisions. All actions or proceedings arising under or related to this Agreement must be brought in a federal or state court located in San Francisco, California, and each party hereby agrees to irrevocably submit to the jurisdiction and venue of these courts.
